The following terms and conditions will be deemed to have been accepted by the User on usage of the website www.pngcreatives.com or docs/forms under PNG Creatives domain or any other internet site which enables interaction between customer’s/partner’s website or web services or systems ( collectively “Website”). The User is requested to read the terms and conditions carefully before they use the service of this Website. If the User does not wish to be bound by these terms and conditions, User should not use the Website:

1. Purpose. These terms and conditions govern the use of the Website. The Website shall contain information relating to the products and services offered by PNG Creatives LLP(‘Company’). User is advised to read the terms carefully before accessing the Website. By accessing, registering or using the Website, the User is deemed to be bound by these terms. "User" means the user of the Website. Registering, availing any specific Services or participating in any forums available on the Website shall be subject to such further terms and conditions as may be provided by the Company from time to time on the Website or otherwise.
2. Eligibility. Website is not intended for persons under 13 years of age. The Services is available for individuals aged 18 years or older. If the User is under the age of 18, the User is requested to review these terms with his/her parent or legal guardian to make sure that the parent or legal guardian understands and agrees to it on behalf of the minor User and if require performs and undertakes such activities which will entitle the minor User to enter into a legally binding agreement with the Company.
3. Website. Website is owned by Company. Company makes no representation that the Information in the Website is appropriate or available for use in places in and outside of India. 1. If User violates these terms, then such User’s access to the Website may be terminated immediately and without notice.
2. Discussion Forums. Website may contain sections that allow the User to interact with the Company. The forums may be accessible and could be viewed by the public. Company does not have any obligation whatsoever to monitor, approve, endorse or exercise editorial control over any information posted by users and does not therefore accept responsibility for or make any warranties in connection with such information. 5. Force majeure event. User agrees that the Company shall be under no liability whatsoever to the User on non-availability of the Website or any portion thereof occasioned by Act of God or a force majeure event such as war, disease, revolution, riot, civil commotion, strike, lockout, flood, fire, satellite failure, failure of any public utility, man-made disaster, satellite failure, epidemic or any other cause whatsoever beyond the control of Company.

2. Indemnity. User agrees to defend, indemnify and hold harmless the Company, its affiliates, officers, directors, employees and agents, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees) arising from: (i) the User’s use of and access to the Website including the services; (ii) User’s violation of any term of these Terms of Use; (iii) User’s violation of any third party right, including without limitation any copyright, property, or privacy right; and (iv) User’s violation of any applicable laws. This indemnification obligation will survive the expiry or termination of Terms of Use and the User’s access and/or use of the Website and/or service.
3. Termination of Access. If the User violates any of these Terms, the Company may deny the User access to the Website (or part thereof) and also disable any other user name and password associated with the User or discontinue providing the services to the User. This is in addition to any other remedies that the Company may have under law or equity including that of termination of the services. Further, the Company reserves the right to suspend or terminate the User’s access and use of this Website or registration or use of the services, as the case may be, at any time, without assigning any reason whatsoever, in addition to the reasons stated in these Terms. The Company may exercise this right of termination, with or without giving notice to the User. User agrees that the Company shall not be liable to the User or to any third party for any suspension or discontinuance of the Website or the services of the Company.
4. Severability. If any provision of these Terms of Use is held invalid, void, or unenforceable, then that provision shall be considered severable from the remaining provisions, and the remaining provisions given full force and effect.
5. Arbitration, Governing Law and Jurisdiction. Any disputes, differences or questions, which may arise at any time hereafter between Company and the User, shall be first amicably resolved between the Parties within 30 (thirty) days from the date on which such dispute was raised by a Party and communicated to the other Party in writing failing which the dispute shall be referred to a sole arbitrator of the Indian Council of Arbitration (ICA). The arbitration shall be conducted in accordance with the Rules of Arbitration of the Indian Council of Arbitration and shall be subject to the provisions of the Arbitration and Conciliation Act, 1996, as amended or any statutory modifications or re-enactment thereof for the time being in force. The venue of such arbitration shall be at Delhi and the Courts at Delhi alone shall have exclusive jurisdiction to deal with the arbitration proceedings and the awards in accordance with law. The arbitration proceedings shall be conducted in English language. The award passed by the arbitrators shall be final and binding upon the Parties. Subject to the arbitration clause, these Terms of Use shall be construed and governed by the laws of India and the Parties agree to submit to the sole and exclusive jurisdiction of the courts of Delhi.
